EQGENIE BUYER TERMS & CONDITIONS — v1.0

1. THE PLATFORM. EQGenie operates a marketplace connecting buyers of heavy
equipment with sellers and with EQGenie's managed-sale desk. EQGenie is not
the owner of listed equipment unless expressly stated.

2. ACCOUNT. You will provide accurate information, keep your credentials
secure, and are responsible for activity under your account. One person may
not hold accounts to circumvent limits or bans.

3. OFFERS ARE REAL. An offer you submit is a genuine expression of intent to
purchase at the stated price and terms. Repeatedly submitting offers you do
not intend to honor may result in account suspension.

4. PAYMENT REPRESENTATIONS. When you select a payment method (cash/wire,
EQGenie financing, or external financing) you represent that the information
— including any stated financing approval — is accurate. Deals opened on
financing remain contingent until approval is confirmed.

5. DEPOSITS & ESCROW. Where a deal requires a deposit, funds are held per the
deal terms and released or refunded according to the deal's contingencies.

6. CONDITION & INSPECTION. Equipment is sold as described by the seller.
EQGenie inspection reports, where present, are a professional opinion at a
point in time, not a warranty. You are responsible for exercising your
inspection contingency before waiving it.

7. ON-PLATFORM CONDUCT. Keep negotiation and payment on-platform. EQGenie
protections (escrow, dispute resolution) do not apply to off-platform
arrangements. No harassment, misrepresentation, or attempts to circumvent
fees.

8. DISPUTES. Deal disputes are handled first through EQGenie's resolution
desk. You agree to engage that process in good faith before external action.

9. COMMUNICATIONS. You consent to receive transactional messages (matches,
offers, deal updates) by email and, where enabled, push notification. You can
manage preferences in your account settings.

10. LIABILITY. To the maximum extent permitted by law, EQGenie's liability
arising from platform use is limited to fees you paid EQGenie in the twelve
months preceding the claim. EQGenie is not liable for indirect or
consequential damages.

11. CHANGES & TERMINATION. EQGenie may update these terms; material changes
will be notified and re-acceptance requested where required. You may close
your account at any time; obligations on open deals survive closure.

By checking the acceptance box you agree to these Terms & Conditions
electronically, which has the same effect as a handwritten signature.
